END USER LICENSE AGREEMENT (EULA) FOR QR-RFID / RFID-QR PRODUCTS

IMPORTANT: PLEASE READ THIS END USER LICENSE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE USING, SCANNING, OR DEPLOYING ANY QR-RFID OR RFID-QR COMBINATION PRODUCTS, TAGS, LABELS, HARDWARE, OR ASSOCIATED SOFTWARE (COLLECTIVELY, THE "PRODUCTS") PROVIDED BY GREEN NFC L.L.C., OWNED AND OPERATED BY ROSS STEVEN DAVIS ("COMPANY," "WE," OR "US").

BY PURCHASING, PAYING THE ANNUAL LICENSE FEE, UNPACKING, ACTIVATING, OR USING THE PRODUCTS, YOU (THE "USER" OR "CUSTOMER") AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL THE TERMS OF THIS AGREEMENT, DO NOT USE THE PRODUCTS AND RETURN THEM PROMPTLY FOR A FULL REFUND.

1. GRANT OF LICENSE & ANNUAL FEE

• License Grant: Subject to the terms and conditions of this Agreement and the timely payment of the applicable fees, Green NFC L.L.C. and Ross Steven Davis grant you a non-exclusive, non-transferable, revocable, limited license to use the physical QR-RFID/RFID-QR tags, embedded chips, printed optical codes, and any associated firmware or software solely for your company's internal business operations, asset tracking, inventory management, or consumer verification purposes.
• License Cost & Term: The cost of this commercial license is $2,000 USD per calendar year per company/entity. This fee must be paid annually in advance to maintain an active, valid license. Failure to pay the annual renewal fee upon its due date will result in the immediate revocation of all license rights granted herein.

2. PERMITTED USE & RESTRICTIONS

You agree that you will NOT:

• Reverse Engineer: Decompile, reverse engineer, disassemble, or attempt to derive the source code of the RFID microchips, embedded logic, or associated proprietary software.
• Clone or Duplicate: Copy, replicate, clone, or forge the unique identifiers (UIDs), encoded URLs, or cryptographic keys embedded within the QR codes or RFID microchips.
• Resell or Distribute: Sub-license, rent, lease, or commercially distribute the blank or pre-programmed tags to third parties without express written authorization from Green NFC L.L.C. or Ross Steven Davis.
• Misuse: Use the Products in any unlawful manner, for fraudulent authentication, or in violation of any applicable local, national, or international laws or regulations.

3. INTELLECTUAL PROPERTY RIGHTS

The QR-RFID and RFID-QR products, including all associated patents, trademarks, copyrights, trade secrets, and underlying technology, are and shall remain the exclusive property of Green NFC L.L.C. and Ross Steven Davis. This Agreement does not grant you any ownership rights in the Products, only a limited right of use consistent with this Agreement.

4. DISCLAIMER OF WARRANTIES

THE PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, GREEN NFC L.L.C. AND ROSS STEVEN DAVIS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Products will be uninterrupted, error-free, secure, or completely immune to physical wear, radio frequency interference, or optical damage.

5. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GREEN NFC L.L.C., ROSS STEVEN DAVIS, OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, OR OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE QR-RFID/RFID-QR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Green NFC L.L.C., Ross Steven Davis, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal and accounting fees) arising out of or in any way connected with your misuse of the Products or breach of this Agreement.

7. TERMINATION

This Agreement is effective upon payment of the annual fee and remains in effect for one (1) year, subject to annual renewal. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any term(s) hereof or fail to pay the annual $2,000 license fee. Upon termination, you shall cease all use of the Products and destroy any inventory of unused proprietary tags or associated software data in your possession.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Iowa, United States, without regard to its conflict of law principles.
